Pini Group (Pini Polonia Sp. z o.o., Pini Polska Sp. z o.o., Hamburger Pini Sp. z o.o. and Royal Chicken Sp. z o.o.) is the key player in the Polish market of pork slaughtering, cutting and processing.
The Pini Group comprises Pini Polonia, the biggest pork slaughterhouse in Poland located in Kutno; two processing plants, i.e. Hamburger Pini, specialising in meat slicing and portion cutting started in 2012 and Pini Polska factory established in 2015, producing cooked, dried and ready-to-eat meat, as well as Royal Chicken – investment project assuming construction of poultry slaughterhouse. In 2016, the total sales revenue of the Group amounted to more than PLN 2.6 billion.
Smithfield Group (”Smithfield”), a part of a Chinese WH Foods concern, has eight meat processing factories and one poultry feather producing plant in Poland. Smithfield, that in Poland operates under Animex brand, is a market leader with revenue of PLN 4 billion and more than 8,000 employees. Smithfield is vertically integrated group that runs in Poland not only meat slaughtering and processing business, but also involved in pig farming and feed manufacturing.
Law Firm’s role
D. Dobkowski sp.k. was the sole legal advisor to the Pini Group owners in the process of sale of the Pini Group shares to Smithfield. The actions covered complex transactional advisory, including the preparation of transactional documentation and legal assistance to the Sellers in the course of negotiations. The Law Firm also supported the companies to be sold in the antimonopoly proceedings before the European Commission and the Office for the Protection of Competition and Consumers.

The final sale of the remaining stake of shares in Pini Polonia sp. z o.o. depends on results of currently held anti-monopoly proceedings.
